| Terms | Starlink Mini Rental Agreement- Terms and Conditions of Rental This Rental Agreement ("Agreement") is entered into by and between Canada Satellite, an Alberta corporation with its principal office at 3365, 246 Stewart Green SW, Calgary, AB, Canada, T3H 3C8 ("Lessor"), and the undersigned renter ("Lessee"). By accepting delivery of the Starlink Mini equipment ("Equipment"), Lessee agrees to be bound by the following terms and conditions. 1. Rental Term The rental term shall commence on the date the Equipment is delivered to Lessee, ("Start Date") and shall end on the date the Equipment is received back in good condition by Lessor, unless extended or terminated earlier in accordance with this Agreement. 2. Start Date This is the date that the Equipment is delivered to you. This is the first day of the rental and needs to be at least 2 business days prior to your departure to account for delivery delays. We are unable to deliver Equipment on weekends and holidays. 3. Payment and Security Deposit Lessee shall pay the full rental fee in advance, including any applicable taxes and fees. A security deposit of $300.00 shall also be paid prior to shipment (government and accredited educational institutions as well as organizations with accounts in good standing are exempt from deposits), by credit card prior to shipment. This deposit is held against loss, damage, or late return of the Equipment. The security deposit, less any applicable deductions, including any rental charges, data charges, replacement costs, cleaning charges and shipping fees will be refunded within 10 business days after satisfactory return of all Equipment. 4. Condition and Use of Equipment Lessee accepts the Equipment in good working condition and agrees to use it in accordance with Starlink’s published acceptable use policy and all applicable laws and regulations. The Equipment shall not be tampered with, opened, modified, or used in any unauthorized territory. Lessee shall not assign, lease, or sublet the Equipment to any third party without prior written consent from Lessor. 5. Additional Data Each rental includes free data. Pre-purchasing extra data is required to keep using the service on the 10GB and 50GB plans. 6. Loss, Theft, or Damage Lessee is solely responsible for the Equipment during the rental term. In the event of loss, theft, destruction, or damage (excluding reasonable wear and tear), Lessee shall immediately notify Lessor and shall be liable for the full replacement or repair cost, as determined by Lessor in its sole discretion. This amount may be deducted from the security deposit, and Lessee shall pay any balance due within seven (7) days of invoicing. Replacement value for the Starlink Rental Kit is C$700 plus all rental, airtime and shipping charges. 7. Rental Insuarance Rental insurance protects the renter from any costs involving damage to the Equipment (except water or wilful damage). Damaged items must be returned. In the case of theft, a police report or constables letter must be obtained. The insurance does not cover regular loss or water damage. 8. Return of Equipment Lessee shall return the Equipment, including all accessories and original packaging, on or before the end of the rental term. No credit for early returns or unused data. Additional fees will apply if equipment returned late, missing accessories or dirty. Cleaning fee is $70/ hour, 1 hour minimum per device. Equipment returned late will incur a minimum fee of $199.99 for 10GB plan, $299.99 for 50GB plan and $499.99 for unlimited plan. You will receive a printed, prepaid return waybill in the box with your Equipment. Reuse the carton in which the Equipment was delivered, attach the return waybill and return to the nearest drop off center. Ensure you obtain and retain a time stamped return receipt with tracking information. Return Waybills may not be available from all locations. No Warranty / Limitation of Liability The Equipment is provided "as is," with no warranty of merchantability or fitness for a particular purpose. Lessor does not guarantee service availability, speed, or uptime. Under no circumstances shall Lessor be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to the use or inability to use the Equipment. 10. Indemnification Lessee agrees to indemnify and hold harmless Canada Satellite, its officers, employees, and agents, from and against any claims, liabilities, damages, and expenses (including legal fees) arising out of Lessee’s use, misuse, or failure to return the Equipment. 11. Termination Lessor may terminate this Agreement immediately for cause, including failure to comply with any term herein. Upon termination, Lessee shall immediately return the Equipment or be held liable for its replacement cost. 12. Cancellations Cancellations made at least forty-eight (48) hours before the scheduled shipping or pickup date are eligible for a full refund, less a processing fee. Cancellations made after that point are non-refundable. No credit or refund will be issued for early returns. 13. Governing Law and Jurisdiction This Agreement shall be governed by the laws of the Province of Alberta, without regard to conflict of law principles. The parties agree that all disputes shall be resolved exclusively in the courts of Calgary, Alberta, and each party irrevocably submits to the jurisdiction of said courts. 14. Entire Agreement This Agreement constitutes the entire agreement between the parties with respect to the rental of the Equipment and supersedes all prior oral or written communications. Any amendments must be in writing and signed by both parties. |
